These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding agreement between you (the “User”) and Solo Automations Ltd (“Company”, “we”, “us”, or “our”), a company registered in the United Kingdom, regarding your use of the SOLOstudio® mobile application (the “App”) and its integration with our proprietary hardware and cloud ecosystem.

The ecosystem includes:

  • SOLO®reader: A Bluetooth Low Energy (BLE) RFID remote control used to trigger cues.
  • SOLO®cloud & SOLO®sync: Networked services for data storage and device synchronisation.

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APP.

  1. Nature of the Service

The App is a professional show control tool designed to assist in the playback of media and control of lighting for live, pre-recorded, and online performances.

  • Professional Use Only: You acknowledge that the App is intended for use by competent professionals who understand the risks associated with software-based show control and wireless technology.
  • Not Fail-Safe: You acknowledge that software operating on consumer-grade mobile devices (iOS) is subject to environmental variables, operating system variances, and hardware limitations. The App is not intended for use in situations where a failure could lead to personal injury or physical damage.

  1. License Grant and Commercial Restrictions

Subject to your compliance with these Terms, Solo Automations Ltd grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal professional use.

You agree that you will not:

  • Resell or Sub-license: Sell, rent, lease, lend, redistribute, sub-license, or otherwise transfer the App or your rights to use the App to any third party.
  • Hire or Rental Services: Include the App as part of a hardware rental package, “dry hire,” or equipment lease deal where the App is provided to a third party for their independent use.
  • Commercial Exploitation: Exploit the App for any commercial purpose other than the direct performance of your own shows or shows where you are the operating technician.

Commercial/Enterprise Licensing: If you wish to use the App as part of a rental fleet, equipment hire service, or enterprise solution, you must obtain a separate commercial license. Please contact sales@solosfx.com for details.

  1. Disclaimer of Warranties (“As Is” Clause)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP, SOLO®reader, SOLO®CLOUD, AND SOLO®SYNC ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND.

Solo Automations Ltd expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Performance Stability: We do not warrant that the App will be error-free, crash-free, or that it will operate without interruption during a live performance.
  • Wireless Reliability (BLE): We do not warrant that the Bluetooth connection between the iOS device and SOLO®reader will be free from interference, latency, or disconnection.
  • Device Compatibility: We do not warrant that the App will function correctly on every iteration of iOS or on devices that have been jailbroken, modified, or are running conflicting background software.

  1. Specific Hardware Limitations (SOLO®reader)

You acknowledge that SOLOstudio® relies on wireless communication which is susceptible to environmental interference, particularly in crowded venues using the 2.4GHz spectrum. Solo Automations Ltd accepts no liability for:

  • SOLO®reader (Input Failure): Missed triggers, latency, or failure to fire cues resulting from the SOLO®reader RFID remote failing to connect, losing Bluetooth pairing, battery failure, or radio frequency (RF) interference.

  1. User Responsibility for Media and Setup

You are solely responsible for the content and configuration used within the App. Solo Automations Ltd accepts no liability for:

  • Corrupt Media: Issues caused by “bad media” (corrupted MP3, WAV, video files, etc.) imported by the User. It is the User’s responsibility to verify the integrity of all files prior to a show.
  • Hardware Setup: Failures resulting from improper cabling (DMX), power supply issues, or physical damage to SOLO®reader units.
  • Device Configuration: Failures resulting from the User’s iOS device entering sleep mode, receiving calls/notifications, running out of battery, or overheating during a performance.

  1. Updates and Software Changes
  • Updates: We may periodically issue updates to the App to add features or fix bugs. We strongly recommend disabling automatic updates and testing any new App version in a non-critical environment before using it in a live show.
  • Compatibility: We do not guarantee that future updates to the iOS operating system will not impair the functionality of the App or Connected Hardware.

  1. SOLO®cloud, SOLO®sync, and Data Integrity

THIS SECTION SPECIFICALLY COVERS YOUR DATA.

You acknowledge that SOLO®cloud and SOLO®sync features rely on internet connectivity and third-party server infrastructure. Solo Automations Ltd accepts no liability for:

  • Data Loss: Any loss, corruption, or degradation of show files, media assets, or cue data stored locally on your device or remotely on SOLO®cloud.
  • Sync Errors: Failures in SOLO®sync resulting in show files not appearing on other devices, version conflicts, or overwriting of data during the synchronisation process.
  • Service Availability: Inability to access SOLO®cloud data due to server downtime, maintenance, or local network failures at your venue.
  • Backup Obligation: It is your sole responsibility to maintain offline, local backups of all show data and media files. SOLO®cloud should not be relied upon as your sole backup method.
